Terms of Service

1. Agreement to Terms

By accessing or using the CityCycle platform and services provided by RegAtlas, LLC ("CityCycle," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.

2. Description of Services

CityCycle provides a software-as-a-service (SaaS) platform for municipal waste management compliance, including but not limited to SB 1383 compliance tracking, enforcement management, food recovery tracking, contract management, and field operations tools.

3. Account Registration

To use our services, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

4. Acceptable Use

You agree not to:

• Use the services for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of the services
• Upload or transmit viruses, malware, or other malicious code
• Reverse engineer, decompile, or disassemble any part of the services
• Use the services to store or transmit infringing, defamatory, or unlawful content
• Resell or redistribute the services without our written consent

5. Data Ownership and License

Your Data: You retain all rights to the data you input into the platform. You grant us a limited license to use, process, and store your data solely to provide the services.

Our Platform: We retain all rights to the CityCycle platform, including all software, designs, and intellectual property. These Terms do not grant you any rights to our intellectual property except as necessary to use the services.

6. Subscription and Payment

Access to CityCycle requires a paid subscription. Payment terms, pricing, and billing cycles will be specified in your service agreement or order form. You agree to pay all fees associated with your subscription. Fees are non-refundable except as expressly stated in your agreement.

7. Service Level and Support

We strive to maintain high availability of our services. Specific service level commitments and support terms will be detailed in your service agreement. We reserve the right to perform scheduled maintenance with reasonable notice.

8. Confidentiality

Each party agrees to protect the confidential information of the other party with the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. Confidential information includes your data, our pricing, and any non-public information disclosed between the parties.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CITYCYCLE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless CityCycle and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the services or violation of these Terms.

12. Term and Termination

These Terms remain in effect while you use our services. We may suspend or terminate your access for violation of these Terms or for any other reason with notice. Upon termination, your right to use the services ceases, and you must cease all use of the platform.

13. Data Export

Upon request prior to or within 30 days of termination, we will make your data available for export in a standard format. After this period, we may delete your data in accordance with our data retention policies.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Los Angeles County, California.

15. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website or notifying you directly. Your continued use of the services after changes become effective constitutes acceptance of the modified Terms.

16. General Provisions

These Terms constitute the entire agreement between you and CityCycle regarding the services. If any provision is found unenforceable, the remaining provisions will continue in effect. Our failure to enforce any right or provision shall not constitute a waiver.
